Light & Wonder Acquires Australian Studio Big Time Gaming in A$520M Deal

Light & Wonder has agreed to acquire Sydney-based slot studio Big Time Gaming for A$520 million, bringing the creator of the Megaways mechanic fully in-house. The transaction ends a long-running licensing arrangement and reshapes the competitive landscape for branded math models.

Light & Wonder confirmed on Wednesday it has reached a definitive agreement to acquire Big Time Gaming (BTG) for A$520 million in cash and stock, ending months of speculation about the future of the Sydney studio behind the Megaways engine. The deal, expected to close in the fourth quarter pending regulatory clearance in Australia, the UK and Malta, gives Light & Wonder full ownership of one of the most widely licensed slot mechanics in the industry, currently deployed by more than 30 third-party suppliers including Blueprint, Pragmatic Play and Relax Gaming.

Under the terms disclosed in an investor briefing, existing Megaways licensing agreements will be honored through their current expiry dates, after which renewal terms will be renegotiated directly with Light & Wonder's commercial team. CEO Matt Wilson framed the acquisition as a content-IP play rather than a distribution grab, telling analysts the studio's roadmap of follow-up mechanics — including the recently launched Megaclusters and an unannounced 2027 engine — was the primary driver of valuation. BTG founder Nik Robinson will remain with the studio for a three-year earn-out period.

The transaction lands at a moment when slot suppliers are increasingly competing on proprietary math frameworks rather than individual titles, with Play'n GO, Hacksaw and Nolimit City all having doubled down on signature mechanics over the past 18 months. Analysts at Regulus Partners noted the price represents roughly 11x BTG's trailing EBITDA, a premium that reflects both the recurring licensing revenue stream and the defensive value of removing a key mechanic from competitor catalogues over time.

For operators, the immediate impact is expected to be minimal, though several sportsbook content managers contacted by industry press expressed concern about long-term pricing power once existing deals lapse. Light & Wonder indicated it intends to maintain BTG as a distinct studio brand and will continue distributing Megaways titles through aggregators, though exclusive variants for the company's own iGaming platform are reportedly already in development for a late 2026 release.
