Flutter Entertainment Completes Acquisition of Brazilian Operator NSX Group for $2.1 Billion

Flutter has finalized its long-anticipated purchase of Brazilian sportsbook and casino operator NSX Group, giving the FanDuel parent immediate scale in Latin America's largest regulated market. The deal values NSX at approximately $2.1 billion and closes just seven months after Brazil's federal licensing regime went live.

Flutter Entertainment announced on Thursday that it has completed its acquisition of NSX Group, one of Brazil's early market leaders following the country's January 2025 regulatory launch. The $2.1 billion transaction, first disclosed in February, gives Flutter control of NSX's Betnacional brand along with its proprietary trading platform and a customer base estimated at 4.3 million monthly active users. The Dublin-headquartered group will integrate NSX under a newly formed Flutter Brazil division reporting directly to CEO Peter Jackson.

The timing reflects Flutter's aggressive posture toward Latin American expansion after watching rivals Entain and Rush Street Interactive establish early footholds. Brazilian gross gaming revenue reached R$24.6 billion in the first half of 2026, according to figures published last month by the Secretariat of Prizes and Betting, well ahead of pre-launch government projections. NSX had captured an estimated 11% market share by June, placing it third behind Superbet and bet365 in the regulated segment.

Flutter said it will retain NSX's São Paulo-based leadership team, with founder Renato Kenzo continuing as CEO of the Brazilian unit. The company also confirmed plans to migrate Betnacional onto Flutter's global technology stack over the next 18 months while preserving the local brand, mirroring the strategy used with Sisal in Italy and MaxBet in Serbia. Synergies of approximately $85 million annually are expected by 2028, primarily through shared trading, risk management, and marketing infrastructure.

Analysts at Jefferies described the closing as a defining moment for Brazilian market consolidation, predicting that the top five operators will control more than 70% of regulated GGR by year-end. Flutter shares rose 2.4% on the London Stock Exchange following the announcement, with management indicating that updated full-year guidance incorporating NSX contributions will be issued alongside second-quarter results in August.
