Flutter Entertainment Acquires Brazilian Operator Betnacional's Parent NSX Group in $1.8B Deal

Flutter Entertainment has agreed to acquire NSX Group, the parent company of Brazilian betting brand Betnacional, in a cash-and-stock transaction valued at $1.8 billion. The deal positions Flutter as a top-three operator in Latin America's largest regulated market just months after federal licensing came into force.

Flutter Entertainment announced Saturday that it has reached a definitive agreement to acquire NSX Group, the Recife-based operator behind Betnacional, MrJack.bet and Pagol, in a transaction valued at approximately $1.8 billion. Under the terms, Flutter will pay $1.2 billion in cash and issue roughly $600 million in new shares to NSX's founding shareholders, who will retain minority positions in the combined Brazilian entity for a minimum of three years.

The acquisition significantly strengthens Flutter's foothold in Brazil, where the operator currently competes through its Betfair brand and a minority stake in NSX rival Betnacional's neighbor Superbet. NSX reported gross gaming revenue of R$2.4 billion (approximately $440 million) for the first half of 2026, with Betnacional ranking among the top five brands by monthly active users since the SPA regulatory regime took effect in January 2025. Flutter CEO Peter Jackson described Brazil as "the single most important growth market in our global portfolio outside the United States," citing projected market maturity of $8-10 billion in GGR by 2028.

The deal is expected to trigger renewed M&A activity across the Brazilian sector, which has seen consolidation pressure mount since the initial 88 federal licenses were issued. Analysts at Regulus Partners noted that smaller licensed operators face growing challenges from marketing cost inflation and the recently implemented 12% GGR tax, making tie-ups with international groups increasingly attractive. Entain, DraftKings and Bet365 have all been rumored to be evaluating Brazilian acquisition targets in recent months.

Completion is expected in the fourth quarter of 2026, subject to approval from Brazil's Secretariat of Prizes and Betting (SPA) and antitrust clearance from CADE. Flutter said it expects the acquisition to be earnings-accretive in its first full year of ownership and confirmed that NSX co-founder Rodolfo Odoni will continue to lead the Brazilian business as CEO of a newly formed Flutter Brasil division.
