Flutter Entertainment Acquires Brazilian Operator Betnacional in $1.1B Deal Ahead of Market Maturity

Flutter Entertainment has agreed to acquire Brazilian sports betting and casino operator Betnacional for approximately $1.1 billion, marking one of the largest transactions in Latin America since Brazil's regulated market launched. The deal positions Flutter to challenge market leaders bet365 and Superbet in the country's rapidly consolidating landscape.

Flutter Entertainment announced today that it has reached a definitive agreement to acquire Betnacional, the flagship brand of Brazilian operator NSX Group, in a cash-and-stock deal valued at roughly $1.1 billion. The transaction, expected to close in Q1 2027 pending approval from Brazil's Secretariat of Prizes and Betting (SPA), would give Flutter an established local platform with more than 2.4 million monthly active users and a top-five market share position by GGR.

The acquisition reflects Flutter's aggressive push into Latin America following the mixed performance of its existing Betfair Brasil operation, which has struggled to gain traction against homegrown brands with stronger local marketing infrastructure. Betnacional, founded in 2020, has cultivated a dominant presence in Brazil's northeast regions and holds sponsorship deals with several Serie A football clubs, including Bahia and Fortaleza. Flutter CEO Peter Jackson described the move as "transformative," telling analysts on a morning call that Brazil represents "the single largest greenfield opportunity in global online betting outside of the United States."

The deal comes as Brazil's regulated market approaches its first full fiscal year of operation, with the SPA reporting cumulative GGR of BRL 24.3 billion since January 2025. Industry consolidation has accelerated in recent months, with smaller operators struggling under the weight of the 12% GGR tax, mandatory 1% player protection contribution, and rising compliance costs tied to KYC and responsible gambling requirements. Analysts at Regulus Partners suggest at least a dozen additional M&A transactions could materialize before year-end as sub-scale licensees seek exits.

Betnacional founders Eduardo and Rodrigo Almeida will retain minority stakes and continue in advisory roles during a two-year transition period, according to the announcement. Flutter plans to migrate Betnacional onto its proprietary Flutter Edge technology stack while preserving the local brand, mirroring the multi-brand strategy it has deployed successfully in the United States with FanDuel and in Italy with Sisal. Shares of Flutter closed up 3.7% on the London Stock Exchange following the announcement.
